Violations

Please report any violations of these Terms of Use to Vistage Worldwide, Inc., 4840 Eastgate Mall, San Diego, CA 92121, Attention: Chief Information Officer.

Severability; Survival; Statute of Limitations[4]

If any provision of these Terms of Use is invalid or unenforceable, such will not render all the Terms of Use unenforceable or invalid but rather the Terms of Use will be read and construed as if the invalid or unenforceable provision(s) are not contained therein. Except where a shorter limitation period is prohibited or restricted by applicable law, any cause of action of yours with respect to these Terms of Use must be filed within one year after the cause of action has arisen, or such cause will be barred, invalid, and void. Where applicable law prohibits or restricts a shortened limitation period, the limitation period prescribed by that law applies.

Entire Agreement

Your written contract(s) with Vistage, if any, and any amendments, addendums, exhibits, and schedules (as applicable) thereto, and these Terms of Use, as the latter may be amended from time-to-time in Vistage’s sole discretion, constitute the entire agreement between Vistage and you, and supersede all prior or contemporaneous agreements, representations, warranties and understandings, whether electronic, verbal, or written, between you and Vistage, with respect to the Sites, Content and Site Services. In the event of a conflict between these Terms of Use and a signed written agreement between you and Vistage (including the Vistage Membership Terms and Conditions), that signed agreement controls with respect to your membership and these Terms of Use control with respect to your access to and use of the Sites, Site Services and Content.

Headings

Headings in these Terms of Use are for convenience only and have no legal meaning or effect.

Relationship Between the Parties

There is no agency, partnership, joint venture, or employee-employer relationship between any user or Member and Vistage arising solely through the access or use of the Sites or Site Services.

Export Controls

You shall comply with all export laws and restrictions and regulations, including those of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or other United States or foreign agency or authority, and not export or re-export Vistage Content in violation of any such restrictions, laws, or regulations. By downloading or using the Content, you agree to the foregoing and you represent and warrant that you are not located in, under the control of, or a national or resident of any restricted country or on any such list.

Governing Law and Jurisdiction[5]

These Terms of Use and all disputes related to these Terms of Use or arising hereunder shall be governed by, construed and enforced exclusively in accordance with the laws of the State of Delaware pertaining to contracts to be entered into and wholly to be performed therein, without regard to its or any other states’ conflicts of law rules or public policy. The Parties further agree to submit to the jurisdiction of Delaware courts and that they agree to accept and will not object to any process served on them by, through or in connection with any action, proceeding or lawsuit by a Party hereto relating to these Terms of Use commenced in Delaware courts. The Parties waive any objection to venue in the event either Party commences an action, proceeding or lawsuit relating to these Terms of Use in the Delaware Courts. The Parties further acknowledge that these Terms of Use performed in accordance with their terms involve more than one hundred thousand US dollars. Notwithstanding any of the foregoing, the Parties may mutually agree in writing to commence any action, proceeding or lawsuit relating to these Terms of Use in any federal or state court of competent jurisdiction.  The Parties hereto specifically waive any right to a jury trial with respect to any matter arising under these Terms of Use.  If any action or proceeding is brought to enforce or interpret these Terms of Use, the prevailing party shall be entitled to reasonable attorneys’ fees in the same or separate action and any other appropriate relief. Any cause of action by you arising in connection with the Sites, Content or Site Services must be instituted within the period set out in the Severability; Survival; Statute of Limitations section above. Notwithstanding the foregoing, nothing in this section deprives you of the protection of any mandatory provisions of the law of your country of residence that cannot be excluded or varied by agreement, and where such mandatory law applies, the governing law and forum required by that law shall apply to that extent.

Language

Except where applicable law requires otherwise, it is the express wish of the parties that these Terms of Use and all related documents be drawn up in English.

[1] If in Australia, nothing in these Terms of Use excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. Where Vistage is entitled under the Australian Consumer Law to limit its liability for a breach of a non-excludable guarantee, its liability is limited, at Vistage’s option, to re-supplying the relevant Site Services or Content (or paying the cost of doing so). The disclaimers and limitations in these Terms of Use apply only to the extent permitted by that law.

[2] If in Canada, if you access the Sites as a resident of Canada, nothing in these Terms of Use excludes, restricts, or modifies any right, guarantee, warranty, remedy or protection conferred by applicable federal or provincial law that cannot lawfully be excluded or limited by agreement, including under provincial consumer protection legislation, provincial limitations legislation, Canada’s Anti-Spam Legislation (S.C. 2010, c. 23), provincial electronic transactions legislation (including the Electronic Transactions Act (Alberta)), the Charter of the French Language (Quebec), and applicable federal and provincial privacy and human rights legislation. Where any provision of these Terms of Use is inconsistent with such law, that provision applies only to the maximum extent permitted and the mandatory law prevails to the extent of the inconsistency, and the governing law and forum provisions of these Terms of Use do not deprive you of the protection of, or the competent forum provided by, that mandatory law.

[3] If in the European Union/EEA and United Kingdom, if you access the Sites as a consumer resident in the EU/EEA or the United Kingdom, nothing in these Terms of Use excludes, restricts, or modifies any mandatory statutory right or remedy (including under the Consumer Rights Directive 2011/83/EU, the Unfair Terms in Consumer Contracts Directive 93/13/EEC, and, in the United Kingdom, the Consumer Rights Act 2015) that cannot lawfully be excluded by agreement. Any right of withdrawal or cancellation you have under applicable law is unaffected. Where any provision of these Terms of Use is found to be unfair or otherwise unenforceable under such law, it applies only to the maximum extent permitted, and the remaining provisions continue in full force. Nothing in these Terms of Use excludes or limits Vistage’s liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

[4] Limitation periods. In certain jurisdictions, including several Canadian provinces, applicable limitations legislation (for example, the Limitations Act (Alberta), the Limitation Act (British Columbia), the Limitations Act, 2002 (Ontario) and the Civil Code of Quebec) prohibits or restricts agreements that shorten the statutory limitation period. Where that is the case, the contractual limitation period set out in these Terms of Use does not apply, and the statutory limitation period applies instead.

[5] If in Brazil and Mexico, if you access the Sites as a consumer resident in Brazil, nothing in these Terms of Use excludes, restricts, or modifies any right or remedy conferred by the Consumer Defense Code (Law No. 8.078/1990) that cannot lawfully be excluded, which prevails to the extent of any conflict; the governing-law and forum provisions of these Terms of Use do not deprive you of the protection of, or the competent forum provided by, that mandatory law. If you access the Sites as a consumer resident in Mexico, nothing in these Terms of Use excludes, restricts, or modifies any right or remedy conferred by the Federal Consumer Protection Law (Ley Federal de Protección al Consumidor) that cannot lawfully be excluded, which prevails to the extent of any conflict.
